Cooperation; Necessary Actions. Sellers and Buyer agree to reasonably cooperate and to take all action, or cause such action to be taken, which may be necessary in order to effectuate the transactions contemplated by this Article 8, including without limitation adopting any necessary amendments to the Seller Employee Plans and the Buyer Employee Plans, making all necessary filings and submissions to the appropriate governmental agencies and providing Company Employees with any notification required by Applicable Law.
