Common use of Cooperation of Parent Clause in Contracts

Cooperation of Parent. Parent shall, and Parent shall cause each of its subsidiaries to, cooperate with the Company in completing the transactions contemplated hereby and shall not take, cause to be taken or agree to make any commitment to take any action (i) that is reasonably likely to have a Material Adverse Effect on Parent, or (ii) that is inconsistent with or prohibited by Section 2.4.
