Cooperation; Satisfaction of Conditions. Sellers shall (a) give assistance, to the extent within their control (and upon prior notice to Purchaser of any expense, at Purchaser's expense), to Purchaser in preparing any required filings and seeking any required consents or approvals in any manner reasonably requested, and (b) use their best efforts to pursue, to the extent within their control, the satisfaction of all other conditions to the consummation of the transaction's contemplated herein. Upon the fulfillment of all the conditions precedent to the obligations of the Parties contained herein, Sellers will forthwith proceed to Closing.
Cooperation; Satisfaction of Conditions. Each party shall cooperate fully with the other and their respective counsel, accountants and other business personnel in connection with any action required to be taken as part of their respective obligations under this Agreement, and each party shall execute such other documents as may be necessary and desirable to the implementation and consummation of this Agreement, and otherwise use diligent efforts to consummate the transaction contemplated hereby and to fulfill their obligations hereunder. Except as otherwise expressly provided herein, each party will use its commercially reasonable efforts to satisfy, or to cause to be satisfied, the conditions to the obligations of the other party to consummate the transactions contemplated by this Agreement, as set forth in Section 9, provided that Transferee will not be required to agree to any increase in the amount payable with respect to, or any modification that makes more burdensome in any material respect, any of the Assumed Liabilities.
Cooperation; Satisfaction of Conditions. Each party will cooperate in good faith with each other party and with the others’ Representatives in furtherance of the transactions contemplated by this Agreement. Each party shall proceed with all reasonable diligence and use commercially reasonable efforts to satisfy or cause to be satisfied all the conditions precedent to the other parties’ obligations hereunder as set forth in Section 7.

Except as otherwise expressly provided herein, each party will use its commercially reasonable efforts to satisfy, or to cause to be satisfied, the conditions to the obligations of the other parties to consummate the transactions contemplated by this Agreement, as set forth in Article 8, provided that Cox will not be required to agree to any increase in the amount payable with respect to, or any modification that makes more burdensome in any material respect, any of the Assumed Liabilities. Cox agrees to cooperate with AT&T with respect to the payment of the Partnership Debt.

UNB Corp. and United Insurance shall (i) give assistance, to the extent within their respective control, to each other in the preparation of required filings and the seeking of required consents in any manner reasonably requested and (ii) use their respective best efforts to pursue, to the extent within their control, the satisfaction of all other conditions to the consummation of the Merger.
