Common use of Cooperation with Sales Clause in Contracts

Cooperation with Sales. In addition to the provisions of Section 2.6 hereof, applicable to sales of Registrable Securities pursuant to a registration, in connection with any sale or disposition of Registrable Securities by Prudential or any other member of the Prudential Affiliated Group, or by Athene or any other member of the Athene Affiliated Group, the Company shall provide full cooperation, including: (a) providing access to employees, management and company records to any purchaser or potential purchaser, and to any underwriters, initial purchasers, brokers, dealers or agents involved in any sale or disposition, subject to entry into customary confidentiality arrangements; (b) participation in road shows, investor and analyst meetings, conference calls and similar activities; (c) using reasonable best efforts to obtain customary auditor comfort letters and legal opinions; (d) entering into customary underwriting and other agreements; (e) using reasonable best efforts to obtain any regulatory approval or relief necessary for any proposed sale or disposition; and (f) submitting or filing of registration statements with the SEC or with other authorities or making other regulatory or similar filings necessary or advisable in order to facilitate any sale or disposition.
