Cooperation with Seller's Audit. Seller agrees, at Buyer's expense, to reasonably cooperate fully with Buyer and Buyer's representatives to facilitate Buyer's evaluations and reports, including at least a one (l) year audit of the books and records of the Property that qualify, comply with and can be used in a public offering. On the Closing Date, Seller shall execute and deliver to Buyer an audit representation letter in the form to be determined prior to the end of the Inspection Period.
