Cooperative Advertising. To assist DISTRIBUTOR in advertising and promoting the Products, SUPPLIER shall accrue into the special advertising fund two and a half percent (2.5 %) of the net sales dollars invoiced to DISTRIBUTORS each month. Amounts in such fund shall be used by DISTRIBUTOR in connection with advertising and other promotional efforts approved by both DISTRIBUTOR and SUPPLIER.

Cooperative Advertising. The parties acknowledge that both Supplier and Distributor are in the process of developing or have developed advertising models for the Product. The parties agree to work in a cooperative manner in such advertising efforts to include joint efforts to develop global advertising clients, sharing of advertising customer contacts and introductions to same and development of consistent advertising client messages.
Cooperative Advertising. 8.1 Ingram may advertise and promote the Product in a commercially reasonable manner and may use Vendor's trademarks, service marks and trade names in connection therewith; provided that Ingram shall submit the advertisement or promotion to Vendor for review and approval prior to initial release, which approval shall not be unreasonably withheld or delayed. 8.2 Vendor agrees to cooperate with Ingram in advertising and promoting the Product and hereby grants Ingram a cooperative advertising allowance of up to three percent (3%) of invoice amounts for Product purchased by Ingram from Vendor to the extent that Ingram or customer/dealers use the allowance for any advertising which features Product. Upon receipt of reasonable evidence of advertising expenditures, Vendor agrees to credit the amount of any such expenditures against future purchases by Ingram. 8.3 Vendor agrees to participate in the "Go With Xxxxxx Micro" marketing program currently in effect, subject to the terms and conditions set forth on Exhibit B attached hereto and made a part hereof.
Cooperative Advertising. Trancell offers a [* * * ] and may offer ----------------------- additional advertising credits, or other promotional programs or incentives to Tech Data as it offers to its other distributors or customers. Tech Data shall have the right, at Tech Data's option, to participate in such programs. Attached as Schedule 5.7 is a copy of Trancell's co-op policy.
Cooperative Advertising. During the term of this Agreement, SELLER shall work in good faith with CUSTOMER to develop a mutually agreed upon program of cooperative advertising and/or joint promotion.
Cooperative Advertising. (a) Roxio shall, to the extent it deems necessary and reasonable, (and consistent with its policies in effect) support Distributor in its efforts regarding the supply of advertising material (and equipment and personnel when possible) for trade shows. To assist Distributor in advertising, promotion and training for the sale of the Products, Roxio agrees to reimburse certain qualified expenses incurred by Distributor for advertising, promotion and trade shows, all subject to the terms and conditions determined by Roxio from time to time, in its sole discretion. (b) Prior to implementing any advertising program for which Distributor seeks approval and contribution, Distributor shall submit a written request to Roxio in a form reasonably acceptable to Roxio, together with a copy of the proposed advertisement. Roxio shall, in its sole discretion, approve or reject the proposal within fifteen (15) working days after receipt thereof. Any proposal not expressly approved by Roxio shall be deemed rejected. (c) Upon completion of an approved advertising program, Distributor shall submit the notices provided by Distributor and Roxio pursuant to Section 7.2(b) above; (ii) a copy of the original advertisement; and (iii) a copy of all invoices verifying the expenses. Within thirty (30) days after receipt of the claim package, Roxio shall pay any authorized amounts to Distributor for all advertisements which meet all qualifications reasonably required by Roxio (including the requirement that the accounts be current in payment). Roxio shall reimburse up to one hundred percent (100%) of the actual, certifiable, pre-authorized expenses (design, production, printing, medial charges, postage and the like) devoted to the Products, not to exceed the amount of available co-op advertising funds earned by and available to Distributor. Reimbursement by Roxio is contingent upon Distributor’s compliance with (i) Roxio’s reasonable requirements; (ii) guidelines regarding use of Roxio’s Products and applications; and (iii) any other then current guidelines specifically intended to ensure that the Products are represented in the proper light. Roxio shall not unreasonably withhold reimbursement from Distributor if Distributor complies with all the above requirements. (d) Co-funding by Roxio of trade shows and any other non-print advertising must be approved by Roxio prior to commitment of funds by Distributor.
Cooperative Advertising. At such times as Franchisor deems appropriate, Franchisor may, but shall not be obligated to, delineate or modify the boundaries of a marketing region that encompasses the Territory for purposes of administering a cooperative advertising program among Remedy franchisees in that region. If Franchisor establishes any such region, Franchisee shall participate in cooperative advertising in the same manner and to the same extent as a majority of Remedy offices in the region elect. The size and composition of such region and any other marketing regions delineated by Franchisor shall be binding upon Franchisee. Each Remedy franchisee in such region shall have the right to cast one vote for each Franchised Business operated by such franchisee in such region and the Franchisor shall, similarly, have the right to cast one vote for each Remedy office operated by Franchisor in such region, in all questions considered by the members of such region.

Cooperative Advertising. To assist FUTURE in adverting and promoting the Products, SUPPLIER will accrue into a special cooperative advertising fund two percent (2%) of the net sales dollars invoiced to FUTURE in a consecutive twelve (12) month period. Amounts in such fund shall be used by FUTURE in connection with advertising: and other promotional efforts approved by both FUTURE and SUPPLIER. All unexpended funds for any calendar year in The SUPPLIER portion will automatically be carried forward into the next year.
Cooperative Advertising. Subject to Paragraph 9(j), during the Term Syratech’s Coop Ad Spend shall be a minimum of Five Percent (5%) of Net Wholesale Sales per year. The Coop Ad Spend shall be payable directly by Syratech to High-End Stores that distribute or sell the Licensed Property to the general public. Syratech shall cause the High-End Stores to produce and disseminate to the general public a reasonable amount of cooperative advertising, marketing and/or promotion of the Licensed Property in exchange for receiving a portion of the Coop Ad Spend. Syratech shall (i) use all commercially reasonable efforts to ensure that such cooperative advertising is consistent with the high prestige luxury status and first-class quality associated with the Xxxx Xxxx brand and VEW and (ii) require any third party recipient of any portion of the Coop Ad Spend pursuant to this Paragraph to immediately withdraw and refrain from any such cooperative advertising in response to a reasonable and good faith objection to such cooperative advertising by VEW. Notwithstanding any contrary provision of this Agreement, Syratech shall provide VEW with so-called “advertising slicks” of such cooperative advertising for VEW’s prior written approval with respect to all aspects of the use and/or exploitation of the Trademark in connection with the cooperative advertising of the Licensed Property, and Syratech shall use all commercially reasonable efforts to cause all retailers of the Licensed Property to use only such advertising slicks as are mutually approved by the Parties.
Cooperative Advertising. Subject to Imagitas' prior written consent, which shall not be unreasonably withheld, Sponsor shall have the right to include other Household Furniture manufacturers or retailers as part of its insert that does not conflict with another Welcome Kit category, as determined by Imagitas.
