COORDINATING WITH OPERATING COMMITTEE. Except as expressly established otherwise in this Agreement, the Agent shall perform each of the duties listed in Section 5.1 in consultation with the Operating Committee. With the prior written consent of the Operating Committee, the Agent may delegate all or a part of its responsibilities under this Agreement to another entity.
