Common use of Copies of Business Records Clause in Contracts

Copies of Business Records. In addition to other rights provided by this Agreement or by the Act, and except as limited by Section 8.5(c) hereof, each Limited Partner shall be provided the following without demand, except as otherwise provided below, at the Partnership's expense: (i) promptly after becoming available, a copy of the most recent annual, quarterly and current reports and proxy statements filed with the Securities and Exchange Commission by Regency pursuant to the Securities Exchange Act of 1934, if any; (ii) promptly after becoming available, a copy of the Partnership's federal, state and local income tax returns for each Partnership Year; (iii) upon written demand and for a purpose reasonably related to such Limited Partner's interest as a Limited Partner in the Partnership, a current list of the name and last known business, residence or mailing address of each Partner; (iv) a copy of this Agreement and (upon written demand) the Certificate and all amendments hereto or (upon written demand) to the Certificate, together with executed copies of all powers of attorney pursuant to which this Agreement, the Certificate and all amendments hereto and thereto have been executed; and (v) upon written demand, true and full information regarding the amount of cash and a description and statement of any other property or services contributed by each Partner and which each Partner has agreed to contribute in the future, and the date on which each became a Partner.

In addition to other rights provided by this Agreement or by the Act, and except as limited by Section 8.5(c) 8.5.3 hereof, each Limited Partner shall be provided the following without demand, except as otherwise provided below, at the Partnership's expense: (ia) promptly after becoming available, a copy of the most recent annual, quarterly and current reports and proxy statements provided to shareholders of the General Partner and, upon specific written request, copies of such documents as filed with the Securities and Exchange Commission by Regency pursuant to the Securities Exchange Act of 1934, if any; (iib) promptly after becoming available, a copy of the Partnership's federal, state and local income tax returns for each Partnership Year; (iiic) upon written demand and for a purpose reasonably related to such Limited Partner's interest as a Limited Partner in the Partnership, a current list of the name and last known business, residence or mailing address of each Partner; (ivd) a copy of this Agreement and (upon written demand) the Certificate and all amendments hereto or (upon written demand) to the Certificateand thereto, together with executed copies of all powers of attorney pursuant to which this Agreement, the Certificate and all amendments hereto and thereto have been executed; and (ve) upon written demand, true and full information regarding the amount of cash and a description and statement of any other property or services contributed by each Partner and which each Partner has agreed to contribute in the future, and the date on which each became a Partnerpartner.
