Common use of COPIES OF CORPORATE DOCUMENTS Clause in Contracts

COPIES OF CORPORATE DOCUMENTS. Subject to the prohibitions set forth in Section 7.12 hereof, promptly deliver to the Agent copies of any amendments or modifications to its charter or by-laws, certified by the secretary or assistant secretary of the corporation.

COPIES OF CORPORATE DOCUMENTS. Subject to the prohibitions set forth in Section 7.12 7.6 hereof, promptly deliver to the Agent copies of any amendments or modifications to its charter or certificate of incorporation and by-laws, certified with respect to the certificate of incorporation by the Secretary of State of its state of incorporation and, with respect to the by-laws, by its secretary or assistant secretary of the corporationsecretary.

Subject to the prohibitions set forth in Section 7.12 hereof, promptly deliver to the Agent Bank copies of any amendments or modifications to its charter or and any Guarantor's certificate of incorporation and by-laws, certified with respect to the certificate of incorporation by the Secretary of State of its state of incorporation and, with respect to the by-laws, by the secretary or assistant secretary of the such corporation.

Subject to the prohibitions set forth in Section 7.12 hereof, promptly deliver to the Agent Lender copies of any material amendments or modifications to its charter or Certificate of Incorporation and by-laws, certified with respect to the Certificate of Incorporation by the Secretary of State of its state of incorporation and, with respect to the by-laws, by the secretary or assistant secretary of the corporationBorrower.

COPIES OF CORPORATE DOCUMENTS. Subject to the prohibitions set forth in Section 7.12 hereof, promptly deliver to the Administrative Agent copies of any amendments or modifications to its charter or and any Subsidiary's certificate of incorporation and by-laws, certified with respect to the certificate of incorporation by the Secretary of State of its state of incorporation and, with respect to the by-laws, by the secretary or assistant secretary of the such corporation.

Subject to the prohibitions set forth in Section 7.12 hereof, promptly deliver to the Agent and the Lenders copies of any amendments or modifications to its charter or Certificate of Incorporation and by-laws, certified with respect to the Certificate of Incorporation by the Secretary of State of its state of incorporation and, with respect to the by-laws, by the secretary or assistant secretary of the corporationsuch Loan Party.
