Common use of Copies of Notices and Reports Clause in Contracts

Copies of Notices and Reports. The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Borrower transmits to its security holders generally, (b) all documents that any Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange or any Governmental Authority exercising similar functions, (c) all press releases issued by any Group Member or, to the extent such press release relates to a Group Member not made available directly to the general public, (d) all material documents, notices or reports transmitted or delivered or received pursuant to, or in connection with, any Distribution Agreements, OLC Agreement, Intercompany Agreement or GVE Agreements and (e) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group Member.

The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Borrower Parent or Holdings transmits to its security holders generally, (b) all documents that the Parent or any other Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange or any Governmental Authority exercising similar functions, (c) all press releases issued by any Group Member or, to the extent such press release relates to a Group Member not made available directly to the general public, (d) all material documents, notices or reports documents transmitted or delivered or received pursuant to, or in connection with, any Distribution Agreements, OLC Agreement, Intercompany Agreement or GVE Agreements Related Document and (e) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group Member.

The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Borrower transmits to its security holders generally, (b) all documents that any Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange (including NASDAQ) or any Governmental Authority exercising similar functions, (c) all press releases issued by any Group Member or, to the extent such press release relates to a Group Member not made available directly to the general public, (d) all material documents, notices or reports transmitted or delivered or received pursuant to, or in connection with, any Distribution Agreements, OLC Agreement or Intercompany Agreement, Intercompany Agreement or GVE Agreements and (e) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group MemberMember (including, without limitation, the Indebtedness under the First Lien Loan Documents, the Convertible Note Documents, and the Mezzanine Financing Documents).

The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Borrower transmits to its security holders generally, (b) all documents that any Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange or any Governmental Authority exercising similar functions, (c) all press releases issued by any Group Member or, to the extent such press release relates to a Group Member not made available directly to the general public, (d) all material documents, notices or reports transmitted or delivered or received pursuant to, or in connection with, any Distribution Agreements, OLC Agreement, Intercompany Agreement or GVE Agreements Agreements, (e) a summary report of Universal Studios Home Entertainment LLC received by any Group Member and (ef) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group Member.

The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Borrower Holdings transmits to its security holders generally, (b) all documents that any Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange or any Governmental Authority exercising similar functions, (c) all press releases issued by any Group Member or, to the extent such press release relates to a Group Member not made available directly to the general public, (d) all material documents, notices or reports documents transmitted or delivered or received pursuant to, or in connection with, any Distribution AgreementsRelated Document, OLC Agreement, Intercompany Agreement or GVE Agreements and (e) any material document transmitted or received pursuant to, or in connection with, any default, termination, waiver or material amendment of any Contractual Obligation governing Indebtedness of any Group MemberMember and (f) any material notices that any Loan Party executes or receives in connection with any Material Contract.
