Common use of Copies of Notices and Reports Clause in Contracts

Copies of Notices and Reports. The Borrower shall promptly deliver to the Administrative Agent copies of each of the following: (a) all reports that the Parent or Holdings transmits to its security holders generally, (b) all documents that the Parent or any other Group Member files with the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange or any Governmental Authority exercising similar functions, (c) all press releases not made available directly to the general public, (d) all material documents transmitted or received pursuant to, or in connection with, any Related Document and (e) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group Member.

The Borrower shall promptly deliver to the Administrative Agent Lender copies of each of the following: (a) all reports that the Parent or Holdings Borrower transmits to its security holders generally, (b) all documents that the Parent or any other Group Member Borrower files with the United States Securities and Exchange Commission, the National Association of Securities Dealers, Inc., any securities exchange (including NASDAQ) or any Governmental Authority exercising similar functions, (c) all press releases issued by the Borrower or, to the extent such press release relates to a Borrower not made available directly to the general public, and (d) all material documents transmitted or received pursuant to, or in connection with, any Related Document and (e) any material document transmitted or received pursuant to, or in connection with, any Contractual Obligation governing Indebtedness of any Group Memberthe Borrower.
