Common use of Copies of Registration Statement Clause in Contracts

Copies of Registration Statement. The Partnership will furnish to the Underwriter, without charge, such number of copies of (i) the manually signed copy of the registration statement corresponding to the Commission’s electronic data gathering, analysis and retrieval system (“XXXXX”) version filed with the Commission and of each amendment thereto, including financial statements and all exhibits to the registration statement, (ii) the registration statement as originally filed and of each amendment thereto, without exhibits, (iii) the Incorporated Documents, without exhibits, and (iv) the exhibits to the Incorporated Documents, in each case, as the Underwriter may request.

Copies of Registration Statement. The Partnership will furnish to the Underwriter, without charge, (i) such number of conformed copies of (i) the manually signed copy of the registration statement corresponding to the Commission’s electronic data gathering, analysis and retrieval system (“XXXXX”) version filed with the Commission and of each amendment thereto, including financial statements and all exhibits to the registration statement, as the Underwriter or the Underwriter’s counsel may reasonably request, (ii) the registration statement as originally filed and such number of each amendment thereto, without exhibits, (iii) copies of the Incorporated Documents, without exhibits, as the Underwriter may request, and (iviii) such number of copies of the exhibits to the Incorporated Documents, in each case, Documents as the Underwriter may request.
