Copies true and complete. the copies of each of the Underlying Documents delivered or to be delivered to the Lenders pursuant to clause 10 are, or will when delivered be, true and complete copies of such documents and each of such documents will when delivered constitutes valid and binding obligations of the parties thereto enforceable in accordance with its terms and there have been no amendments or variations thereof or defaults thereunder.
