Copy to the Borrower. Concurrently with the delivery of any Event of Default Notice to the Collateral Agent, the Loan Servicer shall deliver a copy thereof to the Borrower, but the effectiveness of any such Event of Default Notice shall not depend on the delivery of a copy thereof to the Borrower.
Copy to the Borrower. Each of the Transferor and Transferee hereby authorizes the Agent to provide a signed copy of this loan transfer agreement (without the attached Appendices) to Courtice (to be received by Courtice for itself, MRM and the Guarantors) in acceptance of the offer contained in the Loan Agreement of the Borrowers and the Guarantors to the Transferee to become a party to the Loan Agreement in respect of the Transferred Commitment. Upon receipt thereof by Courtice, the provisions of Section 16.5.4 of the Loan Agreement in respect of the Transferred Commitment shall become effective and be binding upon all parties to the Loan Agreement.
Copy to the Borrower. Each of the Transferor and Transferee hereby agree to provide a signed copy of this loan transfer agreement to the Borrowers (to be received by the Borrowers for themselves and each other Obligor) in acceptance of the offer contained in the Agreement of the Borrowers and the Obligors to the Transferee to become a party to the Agreement in respect of the Transferred Participation. Upon receipt thereof by the Borrowers, the provisions of Section 16.01 and 16.02 of the Agreement in respect of the Transferred Participation shall become effective and be binding upon all parties to the Agreement.
