Copyright and Trademark Warranties. LICENSEE represents and warrants that, throughout the Territory, LICENSEE is either: (a) the sole owner of all right, title and interest in and to the trademarks, copyrights, Artwork and other intellectual property rights used on or in association with the Licensed Products; or (b) the holder of sufficient rights to the trademarks, copyrights, Artwork and other intellectual property rights which have been licensed from a third party for use in the Licensed Product.
