Common use of Corporate and Other Proceedings Clause in Contracts

Corporate and Other Proceedings. All corporate proceedings of the Company in connection with the transactions contemplated by this Agreement, and all documents and instruments incident hereto, shall be reasonably satisfactory in substance to the Buyer and its counsel, and the Buyer and its counsel shall have received all such documents and instruments, or copies thereof, certified if requested, as may be reasonably requested.

Corporate and Other Proceedings. All corporate proceedings of the Company in connection with the transactions contemplated by this Agreement, and all documents and instruments incident heretothereto, shall be reasonably satisfactory in form and substance to the Buyer and its counsel, and the Buyer and its counsel shall have received all such documents and instruments, or copies thereof, certified if requested, as may be reasonably requested.

All corporate and other proceedings of the Parent, the Company and the Subsidiaries of the Company in connection with the transactions contemplated by this AgreementAgreement and the other Transaction Agreements, and all documents and instruments incident heretothereto, shall be reasonably satisfactory in form and substance to the Buyer Investor and its counsel, and the Buyer Investor and its counsel shall have received all such documents and instruments, or copies thereof, certified if requested, as may be reasonably requested.
