Common use of CORPORATE AND PARTNERSHIP AUTHORITY Clause in Contracts

CORPORATE AND PARTNERSHIP AUTHORITY. Each of Landlord and Tenant represents and warrants that each individual executing this Lease on behalf of such entity is duly authorized to execute and deliver this Lease and that this Lease is binding upon such corporation, limited liability company or partnership in accordance with its terms. Tenant shall, at Landlord’s request, deliver a certified copy of its organizational documents or an appropriate certificate authorizing or evidencing the execution of this Lease.
