Common use of Corporate and Partnership Proceedings Clause in Contracts

Corporate and Partnership Proceedings. All corporate and partnership proceedings and other legal matters incident to the authorization, form and validity of this Agreement, the Securities, the General Disclosure Package, any Issuer Free Writing Prospectus and the Prospectus and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Transaction Entities shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

All corporate and partnership proceedings and other legal matters incident to the authorization, form and validity of this Agreement, the Securities, the General Pricing Disclosure Package, any Issuer Free Writing Prospectus and the Prospectus and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Transaction Entities Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.
