Corporate Authorisations and Capacity. (a) The execution, delivery and performance by the Vendor of this agreement complies with its constitution. (b) All necessary authorisations for the execution, delivery and performance by the Vendor of this agreement in accordance with its terms have been obtained or will be obtained prior to Completion. (c) The Vendor has full power and capacity to enter into and perform its obligations under this agreement.
