Corporate Authority; Binding Nature of Agreement. The Seller has the power to enter into this Agreement and to carry out its obligations hereunder. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized by the Directors and majority shareholders of the Seller and no other corporate or organization proceedings on the part of the Seller are necessary to authorize the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby. This Agreement constitutes the valid and binding obligation of the Seller and is enforceable in accordance with their terms.
