Common use of Corporate Authorization; No Contravention Clause in Contracts

Corporate Authorization; No Contravention. The execution, delivery and performance by each Loan Party of each Loan Document to which such Person is party have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

Corporate Authorization; No Contravention. The execution, delivery and performance by the Company and its Subsidiaries of this Agreement and each Loan Party of each other Loan Document to which such Person is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such that Person’s 's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

Corporate Authorization; No Contravention. The execution, delivery and performance by the Company, ECC and Falcon, as the case may be, of this Agreement and each Loan Party of each other Loan Document to which such Person is party party, have been duly authorized by all necessary corporate corporate, limited liability company or other partnership action, as applicable, and do not and will not: (a) contravene the terms of any of such Person’s 's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Credit Party of each Loan Document to which such Person it is party a party, have been duly authorized by all necessary corporate or other action, and do not and will not: : (a) contravene the terms of any of such Person’s its Organization Documents; ; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person it is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person it or its property Property is subject; or or (c) violate any Requirement of LawLaw applicable to it.

The execution, delivery and performance by each Loan Party of this Agreement and each other Loan Document to which such Person Loan Party is party party, have been duly authorized by all necessary corporate corporate, limited liability company or other applicable organizational action, and do not and will not: (a) contravene the terms of any of such that Person’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any Indebtedness or any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

Corporate Authorization; No Contravention. The execution, delivery and performance by each Loan Party of this Agreement and each other Loan Document to which such Person is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such that Person’s 's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party of each any Loan Document to which such Person is party party, have been duly authorized by all necessary corporate or other limited partnership action, as appropriate, and do not and will not: (a) contravene the terms of any of such that Person’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subjectparty; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party the Borrower of each Loan Document to which such Person is party have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person or any of its Subsidiaries is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or any of its Subsidiaries or any of its or their property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party the Company of each this Agreement, and any other Loan Document to which such Person it is party a party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s its Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person it is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property Properties is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party of each the Borrower and its Subsidiaries of any Loan Document to which such Person it is a party have been duly authorized by all necessary corporate or other action, action and do not and will not: : (a) contravene the terms of any of such Person’s Organization Documents; 's certificate of incorporation, bylaws or other organization document; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material indenture, agreement, lease, instrument, Contractual Obligation Obligation, injunction, order, decree or undertaking to which such Person is a party party; or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

Corporate Authorization; No Contravention. The execution, delivery and performance by each Obligor of this Agreement and each other Loan Party of each Loan Document to which such Person is party Document, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s Obligor's Organization Documents; (b) conflict with or result in any material breach or contravention of, or the creation of any material Lien under, any document evidencing any material Contractual Obligation to which such Person any Obligor is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person any Obligor or any of its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party Borrower of each Loan Document to which such Person it is party a party, have been duly authorized by all necessary corporate or other action, and do not and will not: : (a) contravene the terms of any of such Person’s Borrower's Organization Documents; ; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person Borrower is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person Borrower or its property Property is subject; or or (c) violate any Requirement of LawLaw applicable to Borrower.

The execution, delivery and performance by each Loan Party of each the Borrower and the Parent Guarantors of any Loan Document to which such Person it is a party have been duly authorized by all necessary corporate or other action, action and do not and will not: : (a) contravene the terms of any of such Person’s Organization Documents; 's certificate of incorporation, bylaws or other organization document; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material indenture, agreement, lease, instrument, Contractual Obligation Obligation, injunction, order, decree or undertaking to which such Person is a party party; or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party Borrower of this Agreement and each other Loan Document to which such Person is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such that Person’s Organization 's Governing Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party Company of this Agreement and each other Loan Document to which such Person each Company is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s Company's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person any Company is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person any Company or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each of the Loan Party Parties of this Agreement and each other Loan Document to which such Person it is party a party, have been duly authorized by all necessary corporate corporate, partnership or other limited liability company action, as applicable, and do not and will not: : (a) contravene the terms of any of such Person’s its Organization Documents; ; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person it is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person it or its property is subject; or or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan Party of this Agreement and each other Loan Document and Related Agreement to which such Person is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such that Person’s 's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate in any material respect any Requirement of Law.

The execution, delivery and performance by each Loan Party and the Guarantors of this Agreement and each other Loan Document to which such Person is party have been duly authorized by all necessary corporate or other action, and do not and will not: (a) contravene the terms of any of such Person’s 's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of LawLaw applicable to such Person.

The execution, delivery and performance by each Loan Party of this Agreement and each other Loan Document to which such Person Loan Party is party party, have been duly authorized by all necessary corporate or other organizational action, and do not and will not: (a) contravene the terms of any of such that Person’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by each Loan of the Credit Party of each any other Loan Document to which such Person is party party, have been duly authorized by all necessary corporate or other action, and do not and will not: (ai) contravene the terms of any of such that Person’s Organization Documents; (bii) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property Property is subject; or (ciii) violate any Requirement of LawLaw in any material respect.

The execution, delivery and performance by Borrower of this Agreement and each Loan Party of each other Loan Document to which such Person it is party a party, have been duly authorized by all necessary corporate or other action, and do not and will not: : (a) contravene the terms of any of such Person’s its Organization Documents; ; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person it is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person it or its property is subject; or or (c) violate any Requirement of Law.
