Common use of Corporate Authorization; No Contravention Clause in Contracts

Corporate Authorization; No Contravention. The execution, delivery and performance by the Guarantor of this Guaranty have been duly authorized by all necessary corporate action, and do not and will not (a) contravene the terms of any of the Guarantor's Organization Documents; (b) violate or result in any breach or contravention of, or the creation of any lien under, any document evidencing any Contractual Obligation to which the Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the Guarantor or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by the Guarantor of this Guaranty and any other Loan Document to which it is party, have been duly authorized by all necessary corporate action, and do not and will not (a) contravene the terms of any of the Guarantor's Organization Documents; (b) violate or result in any breach or contravention of, or the creation of any lien under, any document evidencing any Contractual Obligation to which the Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the Guarantor or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by the Guarantor of this Guaranty and any other Loan Document to which it is party, have been duly authorized by all necessary corporate action, and do not and will not (a) contravene the terms of any of the Guarantor's Organization Organic Documents; (b) violate conflict with or result in any material breach or contravention of, or the creation of any lien under, any document evidencing any material Contractual Obligation to which the Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the Guarantor or its property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by the each Guarantor of this Guaranty and any other Transaction Document to which it is party have been duly authorized by all necessary corporate action, and do not and will not (ai) contravene the terms of any of the such Guarantor's Organization Documents; constitutive documents, (bii) violate conflict with or result in any breach or contravention of, or the creation of any lien under, any document evidencing any Contractual Obligation agreement to which the such Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the such Guarantor or its property Property is subject; subject or (ciii) violate any Requirement requirement of Lawlaw of any Governmental Authority.
