Common use of Corporate Authorization; No Contravention Clause in Contracts

Corporate Authorization; No Contravention. The execution, delivery and performance by each Credit Party (and any Subsidiary thereof, if applicable) of each Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary action, and do not and will not: (a) contravene the terms of any of that Person’s Organization Documents; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or (c) violate any Requirement of Law in any material respect.

Corporate Authorization; No Contravention. The execution, delivery and performance by each Credit Party (of Holdings and each of its Subsidiaries of any Subsidiary thereof, if applicable) of each Loan Transaction Document and Related Agreement to which such Person is party, party have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that such Person’s Organization Documents; 's charter or by-laws; (b) conflict with or result in any material breach or contravention of, or result in the creation or imposition of (or the obligation to create or impose) any Lien (except pursuant to the Collateral Documents) under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectLaw.

The execution, delivery and performance by each Credit Party (the Company and its Subsidiaries of this Agreement and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, party have been duly authorized by all necessary action, corporate action and do not and will not: : (a) contravene the terms of any of that Person’s Organization Documents; 's certificate of incorporation, bylaws or other organization document; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material indenture, agreement, lease, instrument, Contractual Obligation Obligation, injunction, order, decree or undertaking to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subjectparty; or or (c) to the best knowledge of the Company, violate any Requirement of Law in any material respectLaw.

Corporate Authorization; No Contravention. The execution, delivery and performance by the Company and its Subsidiaries of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that Person’s 's Organization Documents; ; (b) conflict with violate or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectLaw.

Corporate Authorization; No Contravention. The Subject to the entry of the Orders, the execution, delivery and performance by each of the Credit Parties of this Agreement, and by each Credit Party (and each of their respective Subsidiaries of any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary action, and do not and will not: : (ai) contravene the terms of any of that Person’s Organization Documents; ; (bii) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject, in any case in which the consequences of such breach or violation is not stayed by the filing of the Chapter 11 Cases; or or (ciii) violate any Requirement of Law in any material respect.

Corporate Authorization; No Contravention. The execution, delivery and performance by each of the Credit Party (Parties of this Agreement, and of any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary action, and do not and will not: : (a) contravene the terms of any of that Person’s Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or or (c) violate any Requirement of Law in any material respect; except, in each case referred to in clause (c), as would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

The execution, delivery and performance by the Company and the Restricted Subsidiaries of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that such Person’s 's Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectLaw.

The execution, delivery and performance by Borrower and its Restricted Subsidiaries of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that Person’s Organization 's Governing Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectLaw.

The execution, delivery and performance by each of the Credit Parties of this Agreement, and by each Credit Party (and each of their respective Subsidiaries of any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary action, and do not and will not: : (ai) contravene the terms of any of that Person’s Organization Documents; ; (bii) conflict with or result in any material breach or contravention of, or result in the creation of any Lien (other than Liens in favor of Agent under the Loan Documents) under, any document evidencing any material Contractual Obligation to which such Person is a party or any material order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or or (ciii) violate any material Requirement of Law in any material respect.

The execution, delivery and performance by the Company and its Subsidiaries of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that such Person’s 's Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any applicable Requirement of Law in any material respectLaw.

Corporate Authorization; No Contravention. The execution, delivery and performance by each Credit Party (of the Parent Guarantor and its Subsidiaries of any Subsidiary thereof, if applicable) of each Loan Document and Related Agreement to which such Person it is party, a party have been duly authorized by all necessary action, corporate action and do not and will not: (a) contravene the terms of any such Person's certificate of that Person’s Organization Documentsincorporation, bylaws or other organization document; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material indenture, agreement, lease, instrument, Contractual Obligation Obligation, injunction, order, decree or undertaking to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subjectparty; or (c) violate any Requirement of Law in any material respectLaw.

Corporate Authorization; No Contravention. The execution, delivery and performance by each Credit Loan Party (of this Agreement and by each Loan Party and each of its respective Subsidiaries of any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, have been duly authorized by all necessary action, and do not and will not: : (a) contravene the terms of any of that Person’s Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, or require any consent or approval that has not been obtained under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or ; (c) violate any Requirement of Law in any material respect.

Corporate Authorization; No Contravention. The execution, delivery and performance by the Company and the Guarantors of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, a party have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that such Person’s 's Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectapplicable to the such Person.

The execution, delivery and performance by the Company and its Subsidiaries of this Agreement and each Credit Party (and any Subsidiary thereof, if applicable) of each other Loan Document and Related Agreement to which such Person is party, a party have been duly authorized by all necessary corporate action, and do not and will not: : (a) contravene the terms of any of that Person’s 's Organization Documents; ; (b) conflict with or result in any material breach or contravention of, or result in the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property property is subject; or or (c) violate any Requirement of Law in any material respectLaw.
