Common use of Corporate Authorization; No Contravention Clause in Contracts

Corporate Authorization; No Contravention. The execution, delivery and performance by the Guarantor of this Guaranty and any other Loan Document to which it is party, have been duly authorized by all necessary corporate action, and do not and will not (a) contravene the terms of any of the Guarantor's Organic Documents; (b) conflict with or result in any material breach or contravention of, or the creation of any lien under, any document evidencing any material Contractual Obligation to which the Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the Guarantor or its property is subject; or (c) violate any Requirement of Law.

Corporate Authorization; No Contravention. The execution, delivery and performance by the Guarantor Company of this Guaranty Agreement and any each other Loan Document to which it the Company is party, and the execution, delivery and performance by each Guarantor of the Guaranty and each other Loan Document to which such Guarantor is a party, have been duly authorized by all necessary corporate action, and do not and will not not: (a) contravene the terms of any of the Company's or any Guarantor's Organic Organization Documents; ; (b) conflict with or result in any material a breach or contravention of, or the creation of any lien Lien under, any document evidencing any material Contractual Obligation to which the Company or any Guarantor is a party or any order, injunction, writ or decree of any Governmental Authority to which the Company or any Guarantor or its property any of their respective assets is subject; or or (c) violate any Requirement of Law.
