Common use of Corporate Books Clause in Contracts

Corporate Books. The corporate minute books of the Company and of each of its subsidiaries are complete and correct in all material respects and contain signed minutes of all of the proceedings of the shareholders and directors of the Company and of each of its subsidiaries since incorporation. A true and complete list of the directors and officers of the Company and of each of its subsidiaries as of the date hereof is set forth on Schedule 2.6.

Corporate Books. The corporate minute books of the Company and of each of its subsidiaries --------------- are complete and correct in all material respects and contain signed minutes of all of the proceedings of the shareholders and directors of the Company and of each of its subsidiaries since incorporationincorporation or for at least the past seven (7) years, whichever is less. A true and complete list of the directors and executive officers of the Company and of each of its subsidiaries as of the date hereof is set forth on in Schedule 2.6.

The Company and of each of its subsidiaries as of the date hereof is set forth on Schedule 2.6does not operate with an Executive Committee.
