Common use of Corporate Controls Clause in Contracts

Corporate Controls. Neither Stockholder, nor, to the knowledge of Stockholder, any officer, authorized agent, employee or any other Person acting on behalf of the Company or any of its subsidiaries, has, directly or indirectly: used any corporate fund for unlawful contributions, gifts, or other unlawful expenses relating to political activity; made any unlawful payment to foreign or domestic government officials or employees or to foreign or domestic political parties or campaigns from corporate funds; established or maintained any unlawful or unrecorded fund of corporate monies or other assets; knowingly made any false or fictitious entry on its books or records; participated in any racketeering activity; or made any bribe, rebate, payoff, influence payment, kickback, or other unlawful payment, or other payment of a similar or comparable nature, to any Person, private or public, regardless of form, or entity, private or public, regardless of form, whether in money, property, or services, to obtain favorable treatment in securing business or to obtain special concessions, or to pay for favorable treatment for business secured or for special concessions already obtained, and neither the Company nor any of its subsidiaries has participated in any illegal boycott or other similar illegal practices affecting any of its actual or potential customers.
