Common use of Corporate Documents; Proceedings Clause in Contracts

Corporate Documents; Proceedings. (a) The Agent shall have received a certificate, dated the Effective Date, signed by the president or any vice president of the Borrower, and attested to by the secretary or any assistant secretary of the Borrower, in the form of Exhibit D with appropriate insertions, together with copies of the charter documents and resolutions of the Borrower referred to in such certificate. (b) All corporate and legal proceedings and all instruments and agreements in connection with the transactions contemplated in this Agreement and the other Credit Documents shall be satisfactory in form and substance to the Agent, and it shall have received all information and copies of all documents and papers, including records of corporate proceedings and governmental approvals, if any, which the Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate or governmental authorities.

(a) The Agent Lender shall have received received: (i) a certificatecertificate from each Borrower, dated the Effective Closing Date, signed by the president chief executive officer or any vice president chief financial officer of the such Borrower, and attested to by the secretary or any assistant secretary of the Borrower, substantially in the form of Exhibit D C with appropriate insertions, together with copies of the charter documents organizational documents, by-laws and resolutions of the Borrower referred to in such certificate.; and (bii) All all corporate and legal proceedings and all instruments and agreements required to be delivered in connection with the transactions contemplated in this Agreement and by the other Credit Documents shall be reasonably satisfactory in form and substance to the AgentLender in all respects, and it the Lender shall have received all information and copies of all documents and papers, including records of corporate and trust proceedings and governmental approvalsGovernmental Approvals, if any, which the Agent Lender reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate corporate, trust or governmental authorities.

(b) All corporate and legal proceedings and all instruments and agreements in connection with the transactions contemplated in this Agreement and the other Credit Documents shall be satisfactory in form and substance to the Agent, and it shall have received all information and copies of all documents and papers, including records of corporate proceedings and governmental approvals, if any, which the Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate or governmental authorities.

(b) All corporate and legal proceedings and all instruments and agreements in connection with the transactions contemplated in this Agreement Amendment and the other Credit Documents shall be satisfactory in form and substance to the Agent, and it shall have received all information and copies of all documents and papers, including records of corporate proceedings and governmental approvals, if any, which the Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate or governmental authorities.
