TECO is a corporation duly organized and validly existing in good standing under the laws of the jurisdiction of its incorporation and is duly qualified to do business and is in good standing in each jurisdiction in which such qualification is necessary to execute, deliver and perform this Undertaking and each other document to which it is or is to become a party to complete the transactions contemplated hereby.
