Corporate Existence and Issuance of Shares. Merger Sub is a ------------------------------------------ corporation duly organized, validly existing and in good standing under the laws of the State of Georgia. InterCept is a corporation duly organized, validly existing and in good standing under the laws of the State of Georgia. Each of InterCept and Merger Sub is duly qualified to transact business and is in good standing in such jurisdiction in which the nature of property owned or leased by it or the conduct of its business requires it to be so qualified, except where the failure to do so would not have a Material Adverse Effect on their business, taken as a whole. The shares of InterCept Common Stock to be issued in exchange for shares of the Companies when issued will be validly issued and outstanding, fully paid and nonassessable and subject to no preemptive rights.
