Corporate Existence and Rights. Except for mergers, consolidations and liquidations permitted under this Agreement, the Borrower shall, and shall cause each of the Guarantors to, do (or cause to be done) all things necessary to preserve and keep in full force and effect its existence, good standing, rights and franchises unless Borrower's failure to do so would not have a Material Adverse Effect.
