Corporate Existence; Authorizations. Lessee will do or cause to be done all things necessary to preserve, renew and keep in full force and LATAM Shared Terms 8 effect its legal existence and to obtain and hold all Authorizations necessary to (1) permit its execution and delivery of each Operative Document to which it is a party and the performance of its obligations thereunder and (2) permit it to lease the Aircraft in compliance with all Laws applicable to Lessee.

Corporate Existence; Authorizations. (a) ▇▇▇▇▇▇ is a corporation duly organized and validly existing under the laws of Delaware. ▇▇▇▇▇▇ has full power and authority to execute this Agreement and each other Transaction Document to which it is party, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby. The execution and performance of this Agreement and each other Transaction Document to which ▇▇▇▇▇▇ is party and the consummation by ▇▇▇▇▇▇ of its obligations hereunder and thereunder have been duly authorized by all requisite action of ▇▇▇▇▇▇. This Agreement constitutes the legal, valid and binding obligation of ▇▇▇▇▇▇, enforceable against ▇▇▇▇▇▇ in accordance with its terms. Each other Transaction Document to which ▇▇▇▇▇▇ is party, when executed by ▇▇▇▇▇▇, ▇▇▇▇ constitute the legal, valid and binding obligation of ▇▇▇▇▇▇, enforceable against ▇▇▇▇▇▇ in accordance with its terms. (b) The Buyer is a societe anonyme duly organized and validly existing under the laws of France, and substantially all of the shares of its capital stock are owned, directly or indirectly, by ▇▇▇▇▇▇. The Buyer has full power and authority to execute this Agreement and each other Transaction Document to which it is party, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby. The purchase of the Sellers' Shares, the execution and performance of this Agreement and each other Transaction Document to which the Buyer is party and the consummation of the transactions contemplated hereby and thereby have been duly authorized by all requisite action of the Buyer. This Agreement constitutes the legal, valid and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms. Each other Transaction Document to which the Buyer is party, when executed by the Buyer, will constitute the legal, valid and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms. (c) Except as set forth on Schedule 3.1(c), no consent or other authorization of, or filing with, any Person is required by or on behalf of ▇▇▇▇▇▇ or the Buyer in connection with (i) the valid execution or performance of this Agreement or any other Transaction Document by ▇▇▇▇▇▇ and the Buyer or (ii) the consummation by ▇▇▇▇▇▇ and the Buyer of the transactions contemplated by this Agreement or any other Transaction Document.

Corporate Existence; Authorizations. Lessee shall do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and to obtain and hold all Authorizations necessary to (1) permit it to engage in air transport and to carry on passenger and cargo service in each case as presently conducted, (2) permit its execution and delivery of each Operative Document to which it is a party and the performance of its obligations thereunder and (3) permit it to operate the Aircraft in compliance with all Laws applicable to Lessee.
