Corporate Existence; Authorizations. Lessee shall do or cause to be done all things necessary to preserve, renew and keep in full force and effect its legal existence and to obtain and hold all Authorizations necessary to (1) permit it to engage in air transport and to carry on passenger and cargo service in each case as presently conducted, (2) permit its execution and delivery of each Operative Document to which it is a party and the performance of its obligations thereunder and (3) permit it to operate the Aircraft in compliance with all Laws applicable to Lessee.

Corporate Existence; Authorizations. (a) Xxxxxx is a corporation duly organized and validly existing under the laws of Delaware. Xxxxxx has full power and authority to execute this Agreement and each other Transaction Document to which it is party, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby. The execution and performance of this Agreement and each other Transaction Document to which Xxxxxx is party and the consummation by Xxxxxx of its obligations hereunder and thereunder have been duly authorized by all requisite action of Xxxxxx. This Agreement constitutes the legal, valid and binding obligation of Xxxxxx, enforceable against Xxxxxx in accordance with its terms. Each other Transaction Document to which Xxxxxx is party, when executed by Xxxxxx, xxxx constitute the legal, valid and binding obligation of Xxxxxx, enforceable against Xxxxxx in accordance with its terms. (b) The Buyer is a societe anonyme duly organized and validly existing under the laws of France, and substantially all of the shares of its capital stock are owned, directly or indirectly, by Xxxxxx. The execution, delivery and performance of the Stock Purchase Agreements, the Series 1 Waiver, the Stockholders' Agreement, the Stockholders' Agreement Amendment, the Registration Rights Agreement and the Registration Rights Amendment by the Company (including, without limitation, the issuance by the Company of the Shares and the Conversion Shares as contemplated herein and in the Series 2 Certificate of Designations) have been duly authorized by all required corporate and other actions. The Company has duly executed and delivered the Stock Purchase Agreements, the Series 1 Waiver, the Stockholders' Agreement, the Stockholders' Agreement Amendment, the Registration Rights Agreement and the Registration Rights Amendment. The Stock Purchase Agreements, the Series 1 Waiver, the Stockholders' Agreement, the Stockholders' Agreement Amendment, the Registration Rights Agreement and Registration Rights Amendment constitute the legal, valid and binding obligations of the Company enforceable in accordance with their respective terms, subject to bankruptcy, insolvency, reorganization, moratorium and other similar laws relating to the rights of creditors generally.
