Corporate Existence, Licenses and Permits; Maintenance of Properties. So long as any Holder shall hold any Series B Shares, the Company will at all times use commercially reasonable efforts to do or cause to be done all things necessary to maintain, preserve and renew its existence as a corporation organized under the laws of a state of the U.S., preserve and keep in force and effect, and cause any subsidiary to apply for on a timely basis, preserve and keep in force and effect, all licenses and permits necessary and material to the conduct of the business of the Company and any consolidated subsidiary, taken as a whole, and to maintain and keep, and cause any subsidiary to maintain and keep, its and their respective properties in good repair, working order and condition (except for normal wear and tear), and from time to time to make all needful and proper repairs, renewals and replacements, including, without limitation, all trade name and trademark registration renewals, in each case so that any business material to the Company carried on in connection therewith may be properly and advantageously conducted.
