Corporate Existence or Partnership Constitution. (a) Eastern is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Delaware. (b) Eastpoint is a limited partnership duly formed, validly existing and in good standing under the laws of the State of Delaware. Eastern is the sole general partner of Eastpoint.
