Coal is a corporation duly organized, validly existing and in good standing under the laws of Australia and has the corporate power and authority to own, operate and lease its respective properties, to carry on its business as now being conducted, and to enter into this Agreement and to carry out the transactions contemplated hereby. Coal is duly qualified to do business and is in good standing in each jurisdiction where the failure to qualify would have a material adverse affect on it. Coal has delivered to MAS or its counsel true and correct copies of the articles of incorporation and by-laws of Coal, together with any amendments thereto.

MAS is a corporation duly organized, validly existing and in good standing under the laws of Indiana and has the corporate power and authority to own, operate and lease its respective properties, to carry on its business as now being conducted, and to enter into this Agreement and to carry out the transactions contemplated hereby. MAS is duly qualified to do business and is in good standing in each jurisdiction were the failure to qualify would have a material adverse affect on it. MAS has delivered to Coal or its counsel true and correct copies of the articles of incorporation and by-laws of MAS, together with any amendments thereto.

Revenge is a corporation duly organized, validly existing and in good standing under the laws of Nevada and has the corporate power and authority to own, operate and lease its respective properties, to carry on its business as now being conducted, and to enter into this Agreement and to carry out the transactions contemplated hereby. Revenge is duly qualified to do business and is in good standing in each jurisdiction were the failure to qualify would have a material adverse affect on it. Revenge has delivered to EBC or its counsel true and correct copies of the articles of incorporation and by-laws of Revenge, together with any amendments thereto.

EBC is a corporation duly organized, validly existing and in good standing under the laws of Florida and has the corporate power and authority to own, operate and lease its respective properties, to carry on its business as now being conducted, and to enter into this Agreement and to carry out the transactions contemplated hereby. EBC is duly qualified to do business and is in good standing in each jurisdiction where the failure to qualify would have a material adverse affect on it. EBC has delivered to Revenge or its counsel true and correct copies of the articles of incorporation and by-laws of EBC, together with any amendments thereto.

Guardian is a corporation duly organized, validly existing, and in good standing under the laws of Florida, and has all necessary corporate power and authority to own, operate and lease its properties and, to carry on its business as now being conducted, and to enter into this Agreement and to carry the transactions contemplated hereby. Guardian is duly qualified to do business and is in good standing in each jurisdiction where the failure to qualify would have a material adverse effect on it.

Westar is a corporation duly organized, validly existing, and in good standing under the laws of the jurisdiction of its organization and has all necessary corporate power and authority to own, operate and lease its properties and, to carry on its business as now being conducted, and to enter into this Agreement and to carry the transactions contemplated hereby. Westar is duly qualified to do business and is in good standing in each jurisdiction where the failure to qualify would have a material adverse effect on it.

PPI has delivered to MKRO or its counsel true and correct copies of the articles of incorporation and by-laws of PPI, together with any amendments thereto.

MKRO is duly qualified to do business and is in good standing in each jurisdiction where the failure to qualify would have a material adverse affect on it. MKRO has delivered to PPI or its counsel true and correct copies of the articles of incorporation and by-laws of MKRO, together with any amendments thereto.

CAM has delivered to FPC or its counsel true and correct copies of the articles of incorporation and by-laws of CAM, together with any amendments thereto.
