Corporate Good Standing. Sellers and the Company are regularly incorporated, validly existing legal entities in good standing pursuant to the Brazilian Laws, and were duly registered before all competent agencies, Commercial Registries and Governmental Authorities, except for those which absence does not or may not put at risk this Transaction or the development of their business as currently conducted. Sellers and the Company have the corporate authority, power and jurisdiction to own, lease and/or otherwise hold their respective assets and property, and also to conduct and operate their business as currently conducted. The Company was not operational, nor did it have existing or contingent material assets or liabilities until the date of conclusion of the Corporate Reorganization.
Corporate Good Standing. Buyer is a regularly incorporated, validly existing legal entity in good standing pursuant to the Laws of the Federative Republic of Brazil, and was duly registered before all competent agencies, Commercial Registries and Governmental Authorities.
Corporate Good Standing. COMPANY shall ensure that the COMPANY shall within thirty days after execution of this lease, and then thereafter at all times during the term of this lease, be a corporation in good standing under the laws of the State of Colorado, maintaining an appropriate registered agent and a registered office, and otherwise complying with all laws of the State of Colorado.
Corporate Good Standing. Texaco is a corporation duly organized and validly existing and in good standing under the laws of the place of its organization and is duly qualified and authorized to do business wherever the nature of its activities or properties requires such qualification or authorization.
Corporate Good Standing. Rentech is a corporation duly organized and validly existing and in good standing under the laws of the state of Colorado, United States of America, and is duly qualified and authorized to do business wherever the nature of its activities or properties requires such qualification or authorization.
Corporate Good Standing. CMCS is a duly organized and validly existing entity that is in good standing under the applicable laws and regulations of its state of organization, all jurisdictions in which it conducts business and the United States of America. CMCS has the requisite power, authority and capacity, corporate or otherwise, to execute and deliver this Agreement and perform its obligations hereunder. At any time, with reasonable notice, CMR may require CMCS to provide copies of CMCS’ corporate or other organization documents.
Corporate Good Standing. Ignite is a duly organized and validly existing entity that is in good standing under the applicable laws and regulations of its state of organization, all jurisdictions in which it conducts business and the United States of America. Ignite has the requisite power, authority and capacity, corporate or otherwise, to execute and deliver this Agreement and perform its obligations hereunder. At any time, with reasonable notice, CMR may require Ignite to provide copies of Ignite’s corporate or other organization documents.
Corporate Good Standing. Tyler: (a) is a corporation duly incorporated, validly existing, and in good standing; and (b) is duly licensed, authorized, or qualified to do business and is in good standing in every jurisdiction in which a license, authorization, or qualification is required for the ownership or leasing of its assets or the transaction of business of the character transacted by it, except when the failure to be so licensed, authorized, or qualified would not have a material adverse effect on Xxxxx’x ability to fulfill its obligations herein.
Corporate Good Standing. Each party represents and warrants to the other parties that it is a corporation duly organized and validly existing and in good standing under the laws of its respective jurisdiction of incorporation and that no consent of any third party is or shall be required in addition as to the validity of this Agreement.
Corporate Good Standing. Kofile represents and warrants that it: (a) is a corporation duly incorporated, validly existing and in good standing; (b) has all requisite corporate power and authority to execute, deliver, and perform its obligations hereunder; and (c) is duly licensed, authorized, or qualified to do business and is in good standing in every jurisdiction as necessary to perform its obligations hereunder.
