Corporate Governing Documents. The Company shall at all times maintain provisions in its code of regulations and/or articles of incorporation indemnifying all directors and officers against liability and absolving all directors and officers from liability to the Company and its shareholders to the maximum extent permitted under the laws of the State of Ohio.
