Corporate Government Sample Clauses

Corporate Government. (a) The Certificate of Incorporation of Outback, as in effect on the Effective Date, shall continue in full force and effect and shall be the Certificate of Incorporation of the Surviving Corporation. (b) The Bylaws of Outback, as in effect as of the Effective Date, shall continue in full force and effect and shall be the Bylaws of the Surviving Corporation. (c) The members of the Board of Directors and the officers of the Surviving Corporation shall be the persons holding such positions for Outback as of the Effective Date.

Corporate Government. (a) The Articles of Incorporation of the Company, as in effect on the Effective Date, shall continue in full force and effect and shall be the Certificate of Incorporation of the Surviving Corporation. (b) The Bylaws of the Company, as in effect as of the Effective Date, shall continue in full force and effect and shall be the Bylaws of the Surviving Corporation. (c) The members of the Board of Directors and the officers of the Surviving Corporation shall be the persons holding such offices in the Subsidiary as of the Effective Date. None of the members of the Board of Directors or the officers of the Company as of the date hereof shall become members of the Board of Directors or executive officers of the Surviving Corporation upon the Effective Date.

(b) The Bylaws of Newco, as in effect as of the Effective Date, shall continue in full force and effect and shall be the Bylaws of the Surviving Corporation.

Corporate Government a) The Articles of Incorporation of Subco as in effect on the Effective Date, shall continue in full force and effect and shall be the Articles of Incorporation of the Surviving Corporation; provided, however, Article I of the Articles of Incorporation of Subco shall be amended to read in its entirety as follows: "The name of the corporation shall be Southwest Texas Packaged Ice, Inc.".

Corporate Government. (a) The Articles of Incorporation of the Company, as in effect on the Effective Date, shall continue in full force and effect, and shall be the Articles of Incorporation of the Surviving Corporation. (d) At the Effective Time the Boards of Directors of the Surviving Corporation and Parent shall (a) be set at five members, and (b) consist of (i) three members to be designated by the Surviving Corporation prior to the filing of the Proxy Statement referred to in Section 5.6 hereof, and (ii) two members to be designated by Parent prior to the filing of such Proxy Statement.

The member(s) of the Board of Directors of the Surviving Corporation shall be the person(s) holding such office(s) in Acquisition Co. as of the Effective Date.

The Bylaws of Acquisition as in effect as of the Effective Date shall continue in full force and effect and shall be the Bylaws of the Surviving Corporation. The members of the Board of Directors and the officers of the Surviving Corporation shall be the persons holding such offices in the Company as of the Effective Date.
