Common use of CORPORATE LICENSEE Clause in Contracts

CORPORATE LICENSEE. If Licensee is a corporation, partnership, limited liability company, trust or other entity, (i) then each individual executing this License on behalf of such entity represents and warrants that he or she is duly authorized to execute and deliver this License on behalf of such entity; (ii) Licensee represents that such entity is duly formed and is in good standing in its jurisdiction of formation and in Massachusetts; (iii) Licensee shall maintain its existence and good standing for as long as this License shall remain in effect;
