Common use of Corporate Minute Books Clause in Contracts

Corporate Minute Books. The corporate minute books of the Company are complete and the minutes and consents contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by the Company which required director or shareholder approval are reflected on the corporate minute books of the Company. The Company is not in violation or breach of, or in default with respect to, any term of its Articles of Incorporation or by-laws.

Seller has provided to Buyer true and correct copies of the minute books of the Company are complete and the minutes and consents contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by the Company which required director or shareholder approval are reflected on the corporate minute books of since the Company. The Company is not in violation or breach of, or in default with respect to, any term of its Articles of Incorporation or by-laws's inception.
