Corporate Minutes. The minute books of the Company delivered to the Purchaser at the Closing are the correct and only such minute books and do and will contain complete and accurate records of any and all proceedings and actions at all meetings (including written consents executed in lieu of meetings) of its shareholder and Board of Directors and committees thereof, through the Closing Date. The stock records of the Company delivered to the Purchaser at the Closing are the correct and only such stock records and each accurately reflect all issues and transfers of record of the capital stock of the Company.
