The minute books of the Company made available to Precision at the Closing are the correct and only such minute books and do and will contain complete and accurate records of any and all proceedings and actions at all meetings, including written consents executed in lieu of meetings of its shareholders, Board of Directors and committees thereof through the Closing. The stock records of the Company delivered to Precision at the Closing are the correct and only such stock records and accurately reflect all issues and transfers of record of the capital stock of the Company.
