Common use of Corporate Opportunity Clause in Contracts

Corporate Opportunity. During his employment, Executive shall submit to the Company all business, commercial and investment opportunities or offers presented to Executive, or of which Executive becomes aware, at any time during Executive’s employment which relate to the business of design, manufacture, distribution, marketing, assembly or sale of suspension products for vehicles, including mountain bikes, snow mobiles, all-terrain vehicles, motorcycles and off-road automotive vehicles (“Corporate Opportunities”). Unless approved by the Board, Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on Executive’s own behalf.

Corporate Opportunity. During his employmentExecutive’s employment with the Company, Executive shall submit to the Company Company’s CEO all bona fide business, commercial and investment opportunities or offers presented to Executive, Executive or of which Executive becomes aware, at any time during Executive’s employment aware which relate to the business of design, manufacture, distribution, marketing, assembly or sale of suspension products for vehicles, including mountain bikes, snow mobiles, all-terrain vehicles, motorcycles and off-road automotive vehicles the Company and/or its Affiliates at any time during such period employment (“Corporate Opportunities”). Unless approved by the BoardCEO, Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on or for Executive’s own behalfbehalf or benefit.

During his employment, Executive shall submit to the Company all material business, commercial commercial, and investment opportunities or offers presented to Executive, or of which Executive becomes aware, at any time during Executive’s employment the Employment Period or any period of at-will employment, which opportunities relate to the Company’s business of design, manufacture, distribution, marketing, assembly or sale of suspension products for vehicles, including mountain bikes, snow mobiles, all-terrain vehicles, motorcycles and off-road automotive vehicles (“Corporate Opportunities”). Unless approved by the Board, during the Employment Period or any period of at-will employment, Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on Executive’s own behalfbehalf or for Executive’s personal benefit or for the benefit of any Person other than the Company.

During his employmentthe Term, Executive shall submit to the Company Employer all bona-fide business, commercial and investment opportunities or offers presented to Executive, Executive or of to which Executive becomes aware, aware which relate to Employer’s business or the business of any of Employer’s affiliated entities at any time during Executive’s such employment which relate to the business of design, manufacture, distribution, marketing, assembly or sale of suspension products for vehicles, including mountain bikes, snow mobiles, all-terrain vehicles, motorcycles and off-road automotive vehicles (“Corporate Opportunities”). Unless approved by the BoardEmployer, Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on Executive’s own behalf.

During his employmentthe term of the Executive’s employment by the Company, the Executive shall submit to the Company Board all business, commercial and investment opportunities or offers presented to Executive, Executive or of which Executive becomes aware, at any time during Executive’s employment aware which relate to the business scope of design, manufacture, distribution, marketing, assembly or sale of suspension products for vehicles, including mountain bikes, snow mobiles, all-terrain vehicles, motorcycles and off-road automotive vehicles the current businesses engaged in by the Company (“Corporate Opportunities”). Unless approved by the BoardBoard in writing, the Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on the Executive’s own behalf.

Unless approved by the Board, Executive shall not accept or pursue, directly or indirectly, any Corporate Opportunities on Executive’s own behalf.
