Common use of Corporate or Partnership Authorization; No Contravention Clause in Contracts

Corporate or Partnership Authorization; No Contravention. The execution, delivery and performance by the Borrower and the General Partner of this Agreement and each other Loan Document to which the General Partner, the Borrower or any Subsidiary is party, have been duly authorized by all necessary partnership action on behalf of the Borrower and all necessary corporate action on behalf of the General Partner and any Subsidiary, and do not and will not: (a) contravene the terms of any of the General Partner's, the MLP's, the Borrower's or any Subsidiary's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any Contractual Obligation to which the General Partner, the MLP, the Borrower or any Subsidiary is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject, where such conflict, breach, contravention or Lien could reasonably be expected to have a Material Adverse Effect; or (c) violate any material Requirement of Law.

The execution, delivery and performance by the Borrower and Borrower, the General Partner and Xxxxxxxx of this Amendment and the performance of the Credit Agreement and by each other Loan Document to which the General Partner, the Borrower or any Subsidiary is party, of them have been duly authorized by all necessary partnership action on behalf of the Borrower and all necessary corporate action on behalf of the General Partner and any Subsidiary, and do not and will not: (ai) contravene the terms of any of the General Partner's, the MLP's, the Borrower's or any Subsidiary's Organization Documents; (bii) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any Contractual *** Obligation to which the General Partner, the MLP, the Borrower or any Subsidiary is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its property is subject, subject where such conflict, breach, contravention or Lien could reasonably be expected to have a Material Adverse Effect; or (ciii) violate any material Requirement of Law.Law (c)
