CORPORATE PERFORMANCE FACTOR. Once Average XXX and Relative Average EPS Growth are determined, the Corporate Performance Factor is calculated using the table below. Bilinear interpolation applies for performance between the threshold and maximum levels (in either direction). If Average XXX falls below the threshold in the table below, and PNC’s percentile rank relating to average relative EPS is at or below the 25th percentile, the award is eligible for forfeiture. The calculated payout percentage will range from 0.00% to 150.00%.

CORPORATE PERFORMANCE FACTOR. The “Annual Corporate Performance Factor” means 100.00%, plus or minus PNC’s one-year total shareholder return (TSR) for the year to which the Tranche relates. For this Award, TSR is the total shareholder return (i.e., price change plus reinvestment of dividends) on a share of PNC Common Stock for the applicable calendar year, assuming an investment on the first day of the year is held through the last day of the applicable year based on the closing price on the last trading day of the preceding year and on the last trading day of the applicable year, respectively. PNC will present information to the Committee with respect to PNC’s level of TSR Performance for a given performance year following the end of that calendar year. The process of certification of the level of PNC’s TSR Performance with respect to a given performance year will generally occur in late January or early February after the applicable year end date. Calculation. Except as set forth in paragraph 6 below, the Annual Corporate Performance Factor for a Tranche will be 100.00% plus or minus (as applicable) the positive or negative TSR performance of PNC for the year that relates to that Tranche, up to a maximum of 25 percentage points in either direction (i.e., it will range between 75.00% and 125.00% of the number of outstanding PRSUs in a Tranche). The Annual Corporate Performance Factor will be calculated to two places to the right of the decimal, rounded to the nearest ..01.

CORPORATE PERFORMANCE FACTOR. The overall Corporate Performance Factor (also sometimes referred to as the Corporate Factor) used in the final award determination process by the Committee pursuant to Section 5 is calculated, as set forth in Section 15.21, as the weighted average of the Annual Corporate Performance Potential Payout Percentages for all of the covered annual performance measurement periods in the overall Performance Period specified in the applicable subsections of Section 5 or Section 6, as the case may be, including those covered periods consisting of a full year, if any, and those, if any, consisting of a partial year, but in no event more than three covered periods in all and in no event resulting in a Corporate Performance Factor of greater than 200.00%. The final Corporate Performance Factor is taken into account as part of the Final Award determination process by the Compensation Committee as set forth in Section 5 or may be a part of the Final Award calculation pursuant to Section 6 of the Agreement, as applicable.
CORPORATE PERFORMANCE FACTOR. The overall Corporate Performance Factor used in the final award determination process by the Committee pursuant to Section 5 is calculated, as set forth in Section 14.20, as the weighted average of the Annual Potential Payout Percentages for all of the covered annual performance measurement periods in the overall Performance Period specified in the applicable subsections of Section 5 or Section 6, as the case may be, including those covered periods consisting of a full year, if any, and those, if any, consisting of a partial year, but in no event more than three covered periods in all and in no event resulting in a Corporate Performance Factor of greater than 200.00%. As described in Section 3.1 above, the final Corporate Performance Factor is taken into account as part of the Final Award determination process by the Compensation Committee as set forth in Section 5 or may be a part of the Final Award calculation pursuant to Section 6 of the Agreement, as applicable.

Related to CORPORATE PERFORMANCE FACTOR

  • Performance Measure The number of Performance Shares earned at the end of the three-year Performance Period will vary depending on the degree to which cumulative adjusted earnings per share performance goals for the Performance Period, as established by the Committee, are met.

  • Performance Goal (a) Subject to the following sentence, the Performance Goal is set out in Appendix A hereto, which Appendix A is incorporated by reference herein and made a part hereof. Notwithstanding the foregoing, the provisions of Section 13 or any other provision of this Agreement to the contrary, the Committee reserves the right to unilaterally change or otherwise modify the Performance Goal in any manner whatsoever (including substituting a new Performance Goal), but only to the extent that the Committee has first determined that the exercise of such discretion would not cause the Performance Share Units to fail to qualify as “performance-based compensation” under Section 162(m) of the Code. If the Committee exercises such discretionary authority to any extent, the Committee shall provide the Grantee with a new Appendix A in substitution for the Appendix A attached hereto, and such new Appendix A and the Performance Goal set out therein (rather than the Appendix A attached hereto and the Performance Goal set out therein) shall in all events apply for all purposes of this Agreement.

  • Performance Metrics The “Performance Metrics” for the Performance Period are: (i) the System Average Interruption Frequency Index (Major Events Excluded) (“XXXXX”); (ii) Arizona Public Service Company’s customer to employee improvement ratio; (iii) the OSHA rate (All Incident Injury Rate); (iv) nuclear capacity factor; and (v) coal capacity factor.

  • Performance Targets Threshold, target and maximum performance levels for each performance measure of the performance period are contained in Appendix B.

  • Performance Criteria The Performance Criteria are set forth in Exhibit A to this Agreement.

  • Performance Goals A. The Trust and State Street have developed mutually acceptable performance goals dated March 1, 2011 , and as may be amended from time to time, regarding the manner in which they expect to deliver and receive the services under this Agreement (hereinafter referred to as “Service Level Agreement”). The parties agree that such Service Level Agreement reflects performance goals and any failure to perform in accordance with the provisions thereof shall not be considered a breach of contract that gives rise to contractual or other remedies. It is the intention of the parties that the sole remedy for failure to perform in accordance with the provisions of the Service Level Agreement, or any dispute relating to performance goals set forth in the Service Level Agreement, will be a meeting of the parties to resolve the failure pursuant to the consultation procedure described in Sections V. B. and V.C. below. Notwithstanding the foregoing, the parties hereby acknowledge that any party’s failure (or lack thereof) to meet the provisions of the Service Level Agreement, while not in and of itself a breach of contract giving rise to contractual or other remedies, may factor into the Trust’s reasonably determined belief regarding the standard of care exercised by State Street hereunder.

  • Performance Measures The extent, if any, to which you shall have the right to payment of the Award shall depend upon your satisfying one of the continuous employment conditions set forth in Section 3 and the extent to which the applicable performance measure has been satisfied as of the Final Measurement Date, as specified below: The Award shall have the following performance measures during the Measurement Period:

  • Annual Performance Bonus In the discretion of the Company's Compensation Committee, the Executive shall be eligible to receive an annual performance bonus payable in cash for each full or partial fiscal year of the Company during the Employment Period in accordance with the Company's performance-based bonus program for Executive Officers.

  • Performance Period For purposes of this Agreement, the term “Performance Period” shall be the period commencing on January 29, 2018 and ending on January 29, 2021.

  • Performance Objectives Subject to the terms of this Agreement, the Participant’s interest in the Stock Award shall vest and become transferable in accordance with paragraphs 3, 4 and 5 and Exhibit I based on the Company’s Compounded Annual Growth Rate TSR for the applicable measurement period relative to the Compounded Annual Growth Rate TSR for the applicable measurement period for the companies (other than the Company) listed in the NAREIT Hotel Index.
