Common use of Corporate Power, Etc Clause in Contracts

Corporate Power, Etc. Each Loan Party (a) has all requisite corporate power and authority to execute and deliver this Joinder and Consent Agreement and to consummate the transactions contemplated hereby and (b) has taken all action, corporate or otherwise, necessary to authorize the execution and delivery of this Joinder and Consent Agreement. Each Loan Party is entering into this Joinder and Consent Agreement in accordance with Section 14.1 of the Credit Agreement. New Loan Party is duly organized and existing under the laws of the jurisdiction of its organization and qualified to do business in any state where the failure to be so qualified reasonably could be expected to result in a Material Adverse Change.
