Common use of Corporate Proceedings and Documents Clause in Contracts

Corporate Proceedings and Documents. All corporate proceedings taken by Seller in connection with the transactions contemplated hereby and all documents incident thereto shall be reasonably satisfactory in all material respects to Purchaser and its counsel, and Purchaser and its counsel shall have received all such counterpart originals or certified or other copies of such documents as they may reasonably request.
