Corporate Proceedings; Consents; Etc. All corporate and other proceedings to be taken and all waivers and consents to be obtained in connection with the transactions contemplated by the Operative Documents shall have been taken or obtained and all documents incident thereto shall be satisfactory in form and substance to each of the Purchasers and to their counsel and each of the Purchasers shall have received all such originals or certified or other copies of such documents it may reasonably have requested.
