Corporate Proceedings; Consents; Etc. All corporate and other proceedings to be taken and all waivers and consents to be obtained in connection with the transactions contemplated by this Agreement shall have been taken or obtained and all documents incident thereto shall be reasonably satisfactory in form and substance to the BVF Investors and their counsel, each of whom shall have received all such originals or certified or other copies of such documents as each may reasonably request.
