Common use of Corporate Proceedings of Loan Parties Clause in Contracts

Corporate Proceedings of Loan Parties. The Administrative Agent shall have received (a) certified copies of the Charter and by-laws of each Loan Party and (b) the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors of each Loan Party, authorizing in each case the execution, delivery and performance of this Agreement, the Notes and the other Credit Documents to which such Loan Party is a party, in each case certified by the Secretary or an Assistant Secretary of such Loan Party as of the Closing Date and each such certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded as of the date of such certificate;

The Administrative Agent Lender shall have received (a) certified copies a copy of the Charter and by-laws of each Loan Party and (b) the resolutions, resolutions in form and substance reasonably satisfactory to the Administrative AgentLender, of the Board of Directors of each Loan Party, Party authorizing in each case (i) the execution, delivery and performance of this Agreement, and any Other Documents, (collectively the Notes "Documents") and (ii) the other Credit Documents to which such granting by each Loan Party is a party, of the security interests in and liens upon the Collateral in each case certified by the Secretary or an Assistant Secretary of such Loan Party as of the Closing Date and each Date; and, such certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded as of the date of such certificate;

The Administrative Agent shall have received (a) certified copies a copy of the Charter and by-laws resolutions of the board of directors (or equivalent authority) of each Loan Party and authorizing (bi) the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors of each Loan Party, authorizing in each case the execution, delivery and performance of this Agreement, the Notes Amendment and the other Credit any certificate or Other Documents to which such be delivered by it pursuant hereto and (ii) the granting or reaffirmation, as applicable, by each Loan Party is a party, of the Liens upon the Collateral in each case certified by the Secretary or an Assistant Secretary of such each Loan Party as of the Closing Date and each Amendment Effective Date; and, such certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded as of the date of such certificate;
