Common use of Corporate Proceedings Clause in Contracts

Corporate Proceedings. All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Securities, the Registration Statement, the Disclosure Package and the Prospectus and all other legal matters relating to this Agreement and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Corporate Proceedings. All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public SecuritiesStock, the Registration Statement, the General Disclosure Package Package, each Issuer Free Writing Prospectus and the Prospectus and all other legal matters relating to this Agreement and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public SecuritiesOther Transaction Agreements, the Units and the Common Stock and Warrants included therein, all shares of Common Stock outstanding prior to the date of the Prospectus, the Registration Statement, the General Disclosure Package and the Prospectus and all other legal matters relating to this Agreement Prospectus, and the transactions contemplated hereby and thereby hereby, shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Securities, the Registration Statement, the Disclosure Package and the Prospectus Agreement and all other legal matters relating to this Agreement of the offering, issuance and sale of the transactions contemplated hereby and thereby Offered Shares shall be reasonably satisfactory in all material respects to counsel for to the Underwriters, ; and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Corporate Proceedings. All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Securities, the Registration Statement, the Disclosure Package Documents and the Prospectus Transactions and all other legal matters relating to this Agreement of the offering, issuance and sale of the Securities and the transactions contemplated hereby and thereby Transactions shall be reasonably satisfactory in all material respects to counsel for to the Underwriters, Initial Purchaser; and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Corporate Proceedings. All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public SecuritiesOther Transaction Agreements, the Shares, the Founder Shares, the Registration Statement, the General Disclosure Package and the Prospectus and all other legal matters relating to this Agreement Prospectus, and the transactions contemplated hereby and thereby hereby, shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Representatives’ Warrant Agreement, the Firm Securities, the Registration Statement, the Pricing Disclosure Package and the Prospectus and all other legal matters relating to this Agreement and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Corporate Proceedings. All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Securities, the Registration Statement, the Disclosure Package Transaction Documents and the Prospectus and Securities all other legal matters relating to this Agreement the offering, issuance and sale, as applicable, of the Securities and the transactions contemplated hereby and thereby other Transactions shall be reasonably satisfactory in all material respects to counsel for the Underwriters, Placement Agent; and the Company shall have furnished to such Xxxxx Xxxxxx LLP, counsel to the Placement Agent, all documents and information that they it may reasonably request to enable them to pass upon such matters.

All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public SecuritiesOther Transaction Agreements, the Units and the Ordinary Shares, Rights and Warrants included therein, all Ordinary Shares outstanding prior to the date of the Prospectus, the Registration Statement, the General Disclosure Package and the Prospectus and all other legal matters relating to this Agreement Prospectus, and the transactions contemplated hereby and thereby hereby, shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

All corporate proceedings and other legal matters incident to the authorization, form and validity of each of this Agreement, the Public Securities, the Registration Statement, the Pricing Disclosure Package and the Prospectus and all other legal matters relating to this Agreement Agreement, and the transactions contemplated hereby and thereby shall be reasonably satisfactory in all material respects to counsel for the Underwriters, and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Corporate Proceedings.
