Common use of Corporate Proceedings Clause in Contracts

Corporate Proceedings. All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

Corporate Proceedings. All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Counselcounsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

Corporate Proceedings. All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to counsel to the Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this SectionSection 5.

Corporate Proceedings. All corporate proceedings and other legal matters in connection with relating to this Agreement, the form of Registration Statement Statement, the Prospectus and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, other related matters shall have been be reasonably satisfactory to or approved by Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been in form and substance reasonably satisfactory to Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this SectionSection 4.

All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to counsel to the Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

All corporate proceedings and other legal matters in connection with this Agreement, the Indenture, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the SharesSecurities, shall have been reasonably satisfactory to counsel to the Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this SectionSection 4.

All corporate proceedings and other legal matters in connection with this Agreement, the Registration Statement, the Pricing Disclosure Package, the form of Registration Statement Prospectus and the any Permitted Free Writing Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Counsel’ counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the ProspectusProspectus Supplement, and the registration, authorization, issue, sale and delivery of the SharesSecurities, shall have been reasonably satisfactory to Underwriters' Counselthe Underwriter's counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this SectionSection 5.

All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement Statement, the Pre-Pricing Prospectus and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Counselcounsel to the Representatives, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

All corporate proceedings and other legal matters in connection with this Agreement, the Merger, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to counsel to the Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

Corporate Proceedings. All corporate proceedings and other legal matters in connection with this Agreement, the Merger Agreements, the form of Registration Statement and the Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.

All corporate proceedings and other legal matters in connection with this Agreement, the form of Registration Statement and the form of Prospectus, and the registration, authorization, issue, sale and delivery of the Shares, shall have been reasonably satisfactory to Underwriters' Underwriter's Counsel, and such counsel shall have been furnished with such papers and information as they may reasonably have requested to enable them to pass upon the matters referred to in this Section.
