Common use of Corporate Resolution Clause in Contracts

Corporate Resolution. Subservicer shall have received from Servicer on or before the first Transfer Date a duly executed certificate of Servicer’s Secretary or Assistant Secretary reciting the corporate approval by Servicer of the subservicing of the Mortgage Loans by Subservicer and authorizing Servicer’s officers to execute such documents as may be necessary to carry out the transactions contemplated hereby.
